Tineke Lambooy PhD LLM advises HiiL as theme coordinator on the HiiL theme ‘Private Actors’ and their influence on the development of law.
Lambooy is associate professor at the Law School of Utrecht University, the Netherlands. Since 2007, she lectures on Legal Aspects of Globalisation I – Corporate Social Responsibility (CSR) and Mergers & Acquisitions (Corporate Law), which courses are part of the LLM programme International Business Law and Globalisation.
Lambooy is also a senior researcher in the field of CSR at the Centre for Sustainability of Nyenrode Business University, the Netherlands, where she conducts research on the implementation of CSR and on Business and Biodiversity.
Her career started with practising commercial and corporate law in a Netherlands-based international law firm, Loyens & Loeff, Attorneys, Tax Lawyers and Civil Law Notaries in Amsterdam, the Netherlands. She specialised in international transactions (privatisations, mergers and acquisitions) and in due diligence research.
Lambooy obtained a PhD on a study ‘Corporate Social Responsibility. Legal and semi-legal frameworks supporting CSR’ (Kluwer: Deventer, The Netherlands, 2010). She also publishes articles on various subjects including corporate law, corporate governance, CSR, public reporting, private regulation, business and human rights, and business and biodiversity.
In 2008, together with Ruud Lubbers and Willem van Genugten, she published the book Inspiration for Global Governance - The Universal Declaration of Human Rights and the Earth Charter (Kluwer: Deventer, 2008). This book has been translated into Italian, Spanish and Chinese.

Abstract
Corporate Law and CSR: Will There Be a Constitution for Multinational Companies in 2030?
In the think piece, the Law of the Future is explored in the context of corporate social responsibility (CSR). The approach includes the perspectives of corporate governance, corporate law and international public law. The central presumption of CSR is that private and public actors together take care of the world's treasures and people. She examines CSR as it stands today and whether it is already developed enough to generate socially responsible conduct on the part of multinational companies on a worldwide basis. Considering various current innovative approaches advocated by scholars, including the 'World Court of Human Rights' as proposed by Martin Scheinin, she sees as the Law of the Future the development of a Multinational Company Constitution. For discussion purposes, she mentions factors that could be used in defining the type of companies and their size to which the Constitution would apply and she makes suggestions for the possible content of the Constitution. The Constitution would govern all subjects that could be considered part of CSR, i.e. besides human rights issues, the content would also include guidance on e.g. global governance, direct participation of stakeholders, and conflict resolution. The essay ends with some interesting research questions in this context, especially on the application of the Constitution.
